Lotus Resources Locks in US$30M Prepayment Deal With One Export Permit Left

Lotus Resources has signed full documentation for its Mercuria prepayment facility of up to US$30 million, with just one NRPA export permit standing between Kayelekera and its first uranium shipment.
By William Hadrian -
  • Lotus has signed and executed full-form documents with Mercuria for a marketing agreement covering up to 3.0 million pounds of U3O8 over 30 months and an inventory-backed prepayment facility of up to US$30 million.
  • Only the NRPA transport approval remains outstanding for exports, after five other approvals across Malawi, Zambia and Namibia were secured.
  • The first shipment of four containers, about 144k lbs of U3O8, is packed and awaiting dispatch, and Lotus plans to use the prepayment facility from that shipment.
  • The Kayelekera acid plant is running at 50-60% of design capacity, with full furnace repairs due in early CY2027 and grid connection commissioning expected in Q1 CY2027.
  • About 173k lbs of off-specification product remains unsold, with active discussions under way but no buyer, price or timing disclosed.

Mercuria prepayment facility of up to US$30 million documented as export permitting nears completion

Lotus Resources (ASX: LOT) has signed and executed key full form documentation with Mercuria Energy Trading S.A. for its marketing agreement and inventory-backed prepayment facility. The update, dated 8 October 2026, also shows only one export approval outstanding for the Kayelekera uranium mine in Malawi.

The arrangement provides a marketing platform covering up to 3.0 million pounds of U3O8 over 30 months, plus an inventory-backed prepayment facility of up to US$30 million. Upon execution of the full suite of documents, it will complete the strategic funding package announced on 23 July 2026, which was previously announced and is not new.

For investors, the point is liquidity. The company intends to begin using the facility from its first uranium shipment, which is expected to add balance sheet flexibility as production ramps up.

Greg Bittar, Managing Director

“We are very pleased to be signing and executing full form documentation for the Mercuria marketing and inventory-backed prepayment facility which will provide additional balance sheet liquidity once shipments commence.”

Export route approvals leave one NRPA permit outstanding

The export route runs from Malawi via Zambia to Namibia, then through the Port of Walvis Bay to Orano CE’s conversion facility in France. Most of the permits along that path are now in hand.

Approvals secured across the route

Lotus has received the following:

  1. Approval from the Malawian Atomic Energy Regulatory Agency.
  2. The Zambian transport licence, obtained through logistics partner Alistair Group.
  3. Transport approval from Namibia’s Ministry of Environment, Forestry and Tourism.
  4. Transport approval from Namibia’s Ministry of Industries, Mines and Energy.
  5. National Radiation Protection Authority (NRPA) authorisation for warehouse storage at Walvis Bay.

Kayelekera Export Route and Permitting Status Flowchart

Final NRPA transport approval and first shipment

Only the NRPA transport approval remains outstanding. Managing Director Greg Bittar and Chairman Michael Bowen met the NRPA in Windhoek this week, and the company is working with the regulator to finalise it.

Once it is received, the remaining permitting tasks relate to per shipment notifications and approvals in the ordinary course of exporting. Those will be supported by the approvals already secured.

The company is preparing for its first shipment of four containers, representing approximately 144k lbs of U3O8. The product is packed and awaiting dispatch from site (Figure 1 in the announcement).

That shipment matters because the company intends to begin utilising the prepayment facility from it, accelerating cash conversion.

Kayelekera operations: acid plant, production and off-specification inventory

Acid plant at 50-60% of design capacity

The acid plant is producing high concentration sulphuric acid and is operating at approximately 50-60% of design capacity. Further optimisation and the full furnace repair works are expected in early CY2027.

Management describes the plant as a key strategic asset, providing enhanced acid supply security, lower reagent costs and reduced exposure to third-party supply disruptions. That matters because acid is a core input for uranium processing.

The picture is balanced, though. Regional sulphuric acid market conditions remain challenging, so uranium production is expected to broadly align with acid production levels in the near term.

Production update

Production from mid-August was constrained by acid availability, power generation interruptions and planned optimisation activities. The table below sets out the key facts and what they mean.

Fact Impact
Approx. 100k lbs of drummed product over 31 operating days (Aug-Sep) Output achieved despite constraints
September showed material improvement in uranium recoveries Signals operational improvements are taking effect
Power generation issues largely addressed; additional rental generators being mobilised Aims to improve power reliability until grid connection is completed
Grid connection commissioning expected Q1 CY2027 Substations at Kayelekera and Karonga well advanced

Off-specification product sale

Approximately 173k lbs of product was determined to be off-specification by Orano CE, as previously disclosed on 30 July 2026. The majority was produced during early commissioning and restart activity.

Lotus is in active discussions with a number of parties for a potential near term sale. The announcement does not disclose a buyer, price or timing, and product quality has improved materially since.

What an inventory-backed prepayment facility means for investors

A prepayment facility lets a producer access cash against uranium it already holds before the final sale is completed. A marketing platform, in turn, provides a route to sell that product.

For Lotus, the combination is designed to bridge the gap between production and cash receipts during ramp-up. The announcement does not disclose any drawdown amount.

Upcoming catalysts to watch:

  • Final NRPA transport approval
  • Dispatch of the first shipment
  • A sale of the off-specification inventory
  • Acid plant optimisation and furnace repair works (early CY2027)
  • Grid connection commissioning (Q1 CY2027)
