Bayan Sells Nevada Asset for $800K, Keeps Royalty and Laser Focus on Rare Earths
Bayan strikes A$800,000 deal to divest non-core Nevada asset to Sun Silver
Bayan Mining and Minerals (ASX: BMM) has entered a binding Asset Sale Agreement to divest its 100%-owned Bayan Springs North Project in Nevada to Sun Silver Ltd (ASX: SS1). Total consideration comprises up to A$800,000 through completion, deferred and contingent payments, with Bayan retaining a 1.0% Net Smelter Return (NSR) royalty over future production. The purchaser is Sun Silver Resources LLC, a wholly owned subsidiary of Sun Silver.
The transaction delivers non-dilutive funding while preserving exploration upside, allowing Bayan to focus capital on its rare earth strategy without shareholder dilution. Crystallising value from a non-core asset, the deal provides financial flexibility whilst maintaining meaningful exposure to any future development success through both milestone payments and the retained royalty.

Breaking down the deal structure
The transaction features a staged payment structure designed to balance immediate cash realisation with long-term optionality tied to exploration success.
| Component | Amount | Timing / Condition | Type |
|---|---|---|---|
| Completion payment | A$150,000 | On Completion Date (expected by 31 August 2026) | Cash |
| Deferred payment | A$150,000 | 12 months after Completion | Cash |
| Milestone payment | A$500,000 | If Sun Silver announces ≥20m at ≥100 g/t AgEq within 5 years | Cash or shares (SS1 discretion) |
| Retained royalty | 1.0% NSR | Ongoing on all minerals extracted | Royalty |
Additional royalty buy-back optionality provides further long-term value potential:
- Sun Silver may repurchase 0.5% of the NSR (reducing Bayan’s royalty from 1.0% to 0.5%) for a one-off A$2,000,000 payment
- This mechanism creates potential upside if the project demonstrates sufficient value to warrant royalty reduction
The divested asset comprises 116 lode mining claims administered by the Bureau of Land Management, held through Bayan’s wholly owned subsidiary BMM Nevada LLC.
For investors, this layered structure delivers immediate cash, deferred certainty, and performance-linked upside without further capital commitment from Bayan.
Understanding NSR royalties and why they matter to investors
A Net Smelter Return (NSR) royalty represents a percentage of the gross value of minerals produced from a project, paid to the royalty holder from production revenue before operating costs are deducted. This contrasts with net profit royalties, which are calculated after expenses.
Retaining a 1.0% NSR on Bayan Springs North gives Bayan long-term exposure to any future production success without spending another dollar on exploration, development or mine construction. The company maintains economic participation whilst transferring all project risk and capital obligations to Sun Silver.
The A$500,000 milestone payment triggered by a significant intersection (≥20 metres at ≥100 g/t silver equivalent) effectively pays Bayan more if Sun Silver’s drilling validates the ground’s prospectivity. This structure aligns incentives and rewards Bayan shareholders for exploration success they no longer need to fund.
Royalties function as a “free carry” on exploration upside, preserving exposure to discovery value whilst capital is redirected to Bayan’s core rare earth development strategy.
Why Sun Silver is the logical owner
Bayan Springs North is immediately adjacent to Sun Silver’s Maverick Springs Project, creating natural consolidation logic. Maverick Springs hosts a JORC (2012) Inferred Mineral Resource of 539 million ounces of silver equivalent at 71 g/t AgEq, demonstrating the district’s mineralisation potential. This resource belongs to Sun Silver’s adjacent project, not to Bayan Springs North itself, though proximity indicates the broader area’s prospectivity for sediment-hosted precious metals mineralisation.
Given Sun Silver’s substantial existing land position surrounding Bayan Springs North and its strategic focus on advancing the Maverick Springs district, Bayan’s Board considers Sun Silver the logical party to advance exploration across the consolidated land package. The transaction enables efficient district-scale exploration under single ownership whilst allowing Bayan to maintain exposure through milestone payments and the royalty without committing additional capital to the program.
Nathan Kong, Chief Executive Officer
“This Transaction is an excellent outcome for Bayan shareholders. It unlocks immediate value from a non-core asset while retaining meaningful long-term exposure to exploration success through both milestone payments and an ongoing royalty.
Bayan Springs North is highly complementary to Sun Silver’s existing landholding, making Sun Silver the logical owner to advance exploration in the district. Importantly, Bayan maintains exposure to any future discovery success without committing additional capital.
The Transaction also delivers non-dilutive funding that further strengthens our ability to accelerate development of our rare earth portfolio. Our strategic priority remains building a leading critical minerals business through the advancement of the Desert Star Rare Earth Project and our proprietary rare earth processing technologies.”
What Bayan keeps and where capital goes next
This transaction represents portfolio management, not a full exit from the region. Bayan retains full ownership of the Bayan Springs South Project, which has returned high-grade surface assays of up to 8.25 g/t gold. Bayan Springs South lies on the prolific Carlin Trend, approximately 10 kilometres north-northwest of Kinross Corporation’s Bald Mountain mine (ASX Announcement 21 August 2025). Proximity to established mining operations does not guarantee similar exploration success, though it contextualises the project within a productive geological environment.
Proceeds from the Bayan Springs North divestment will be allocated to existing US exploration projects and developing rare earth processing technologies. Bayan’s strategic priority remains building a critical minerals business through advancement of the Desert Star Rare Earth Project and proprietary processing technologies covering beneficiation, leaching and resin-based separation, invented by the Colorado School of Mines.
The divestment sharpens capital focus on Bayan’s core rare earth growth strategy, concentrating resources where the company retains maximum operational leverage and technical advantage. By exiting a non-core asset adjacent to a competitor’s flagship project, Bayan eliminates future funding obligations whilst preserving economic exposure through the royalty and milestone structure.

Near-term catalyst: Desert Star drilling results pending
Bayan has completed its maiden reverse circulation (RC) drilling programme at the Desert Star Rare Earth Project, totalling 856 metres. Samples have been dispatched to ALS Laboratories, with assay results expected in August/September 2026, subject to laboratory turnaround times.
These results represent the next value catalyst investors should monitor, with the potential to validate the rare earth prospectivity of Desert Star and support Bayan’s technology development strategy.
Key milestones ahead:
- Transaction Completion expected by 31 August 2026
- Desert Star assay results due August/September 2026
- Deferred A$150,000 payment due 12 months post-Completion
The transaction represents disciplined portfolio management, delivering non-dilutive cash and retained upside through milestone payments and royalty exposure whilst sharpening Bayan’s focus on rare earth exploration and processing technology development. Investors gain exposure to both the company’s core growth strategy and residual optionality on Bayan Springs North’s future potential without additional capital dilution.
