Askari Metals Extinguishes Up to $350K Future Adola Obligations for $30K in Shares
Key Takeaways
- Askari Metals has extinguished up to $350,000 in unpaid milestone and deferred cash obligations tied to the Rift Valley Resources acquisition.
- The 1.0% Net Smelter Royalty and the $1,000,000 buy-back right over the Adola Greenstone Belt Projects are gone, leaving future discoveries royalty-free.
- The price is 3,000,000 shares at a deemed $0.01, or $30,000, issued around 16 October 2026 under Listing Rule 7.1 with 12 months of voluntary escrow.
- The deemed $0.01 issue price is double the $0.005 ASX close on 14 October 2026, so the dilution is real even if the dollar figure is small.
- Askari keeps 100% of Rift Valley Resources and its Adola interests, but the announcement discloses no new exploration timelines.
Askari Metals Extinguishes Adola Future Payment Obligations via Deed of Settlement
Askari Metals (ASX: AS2) has executed a binding Deed of Settlement and Release with the vendors of Rift Valley Resources Pty Ltd (RVR), Clifford Fitzhenry, Matthew Vincent Horgan and Stephen Stone, together with RVR. The deed, announced on 15 October 2026, relates to the Adola Greenstone Belt Gold Projects in southern Ethiopia.
It permanently extinguishes all future milestone payments, deferred cash consideration and royalty-related obligations under the Share Purchase Agreement dated 28 April 2025. Askari retains 100% of RVR and its interests in the Adola Greenstone Belt Projects, Ethiopia.
For an explorer, that matters. Contingent liabilities (payments that only fall due if certain events occur) are removed from the books, which simplifies the company’s future obligations.

What has been cleared: key terms of the settlement
The deed targets every remaining piece of future consideration under the original acquisition. Here is what the announcement says has been extinguished.
Obligations extinguished
| Obligation | Amount/Term | Trigger or Detail |
|---|---|---|
| Milestone One Consideration | **$100,000** | Linked to specified rock sample assay results |
| Milestone Two Consideration | **$100,000** | Linked to specified trench assay results |
| Deferred cash payment | **$150,000** | Payable on the 12-month anniversary of completion, which occurred on **26 August 2025** |
| Net Smelter Royalty | **1.0%** | Over the Adola Greenstone Belt Projects |
| Royalty buy-back right | **$1,000,000** | Includes related royalty documentation requirements |
The cash items total up to $350,000. None of them had been paid, and none now will be, because they have been extinguished under the deed.
Following satisfaction of the settlement consideration, the vendors will release Askari and RVR from all claims relating to these future consideration rights. They also acknowledge that no further entitlement exists under the extinguished provisions.
Settlement consideration
In exchange, Askari will issue shares rather than pay cash. The terms are:
- 3,000,000 fully paid ordinary shares (Settlement Shares), apportioned equally at 1,000,000 to each vendor
- A deemed issue price of $0.01 per share, or $30,000 in aggregate
- Issue on or about 16 October 2026, using the company’s existing placement capacity under Listing Rule 7.1
- A 12 month voluntary escrow on the shares
- No vendor is a related party of the company or otherwise a person referred to in Listing Rule 10.11
- An Appendix 3B for the proposed issue accompanies the announcement
The deemed issue price of $0.01 compares with the ASX closing price of $0.005 on 14 October 2026.
Management view
Executive Director Gino D’Anna described the outcome as positive for the company and its shareholders.
Gino D’Anna, Executive Director
“The execution of this Deed represents a positive commercial outcome for Askari and our shareholders. By eliminating all remaining contingent milestone, deferred consideration and royalty obligations associated with the Rift Valley Resources acquisition, we have simplified the Company’s exposure to future liabilities while retaining 100% of Rift Valley Resources and its interests in the Adola Greenstone Belt Projects. The settlement provides certainty over the Company’s future obligations.”
Understanding deferred consideration and royalties in acquisitions
Explorers often buy projects with a mix of upfront and later payments. Milestone payments are due only when a defined target is hit, deferred consideration is cash paid at a later date, and a Net Smelter Royalty is a percentage of a mine’s sales revenue, after certain smelting and refining costs, paid to a previous owner.
Removing these items matters for you as an investor in three ways:
- Less future cash demand on a company that must fund exploration
- No royalty burden on any future discovery
- A simpler structure when dealing with potential partners or funders

What it means for shareholders
Roughly $350,000 of potential cash obligations, plus a royalty and buy-back mechanism, are replaced by $30,000 in escrowed shares. The trade-off is dilution, with 3,000,000 new shares issued.
The remainder of the Share Purchase Agreement remains unchanged and in full force and effect, except for the provisions expressly extinguished. The announcement does not disclose any forward timelines beyond the share issue on or about 16 October 2026.
Askari is an African exploration company. Its flagship Nejo Project in Ethiopia covers approximately 1,200km² surrounding the 1.7Moz Tulu Kapi Gold Mine and along strike from the 3.4Moz Kurmuk Mine, and it also holds the Uis Project in Namibia.
The Adola Greenstone Belt Projects form part of the assets acquired through the RVR acquisition. They comprise the exploration licence applications identified in the original Share Purchase Agreement and any successor or replacement interests derived from those applications.
